Terms of Service

These Terms of Service (the "Terms") govern your use of everto.ca (the "Website"). Products we operate on other domains or subdomains have their own terms, and these Terms do not apply to them. The Website is operated by EverTo Ventures ("EverTo", "we", "us", or "our"), a venture studio that builds companies with founders.

By using the Website, you agree to these Terms. If you do not agree, please stop using it. If you send us a pitch, read section 5 first. It is the section that matters most.

1. Authority to Agree

If you agree to these Terms on behalf of a company or other organization, you confirm you have the authority to bind it.

2. Acceptable Use

Use the Website lawfully and without interfering with anyone else's use of it. Do not attempt to access areas of the Website you are not authorized to reach, probe or disrupt its security or availability, scrape it systematically, or use it to send unlawful, deceptive, or abusive content.

3. Our Content

The text, images, graphics, logos, code, and design of the Website belong to EverTo or are used under licence. The EverTo name and logo are our marks. You may read, quote briefly with attribution, and share links. You may not copy, reproduce, republish, or create derivative works from the Website's content for commercial purposes without our written permission.

4. No Offer, No Advice

Nothing on the Website is professional, legal, financial, or investment advice, and nothing here is an offer to sell or a solicitation to buy any security or investment. Descriptions of what we do, including any reference to funding, are general information about our practice. They are not a commitment to invest in, build with, or work with anyone. Any actual engagement between us is set out in a separate signed agreement, and only that agreement binds us.

Founder accounts published on the Website describe individual experiences. They are not a prediction or promise of any outcome for you.

5. Submitted Ideas

We invite you to send us your idea, so we owe you a straight account of what happens to it.

5.1 You keep it. You own your idea and anything you send us. These Terms do not transfer any ownership to us, and we claim no licence to your idea beyond what we need in order to receive, store, read, and discuss it internally while we consider it. If we want to publish or use anything you sent, we will ask you first.

5.2 We keep it to ourselves. We do not publish your pitch or show it to anyone outside EverTo, except to the service providers described in our Privacy Policy, or where the law compels us. This is the commitment behind the line on our pitch form.

5.3 What we cannot promise. We read a great many pitches, we work with other founders, and we build things ourselves. Ideas arrive in parallel more often than people expect. So we cannot agree to stop working on a subject because a pitch touched it. If we develop something similar without using what you sent us in confidence, whether we started before your pitch arrived or after, that is independent development and it is not a breach of these Terms. We also cannot treat as confidential anything that is already public, that we already knew, or that reaches us lawfully from someone else.

5.4 No agreement is created by sending or reading a pitch. Submitting a pitch does not create a partnership, joint venture, employment, agency, or fiduciary relationship, and it does not oblige us to reply, to evaluate, to build, to invest, to keep you informed, or to pay you anything. We may decline for any reason or none, and we are not required to explain.

5.5 No non-disclosure agreement. Sending a pitch does not put a non-disclosure agreement in place, and we do not accept one by implication or by a notice attached to your message. Section 5.2 is what we offer. If your idea needs more protection than that, email us before you send anything, and if we agree to sign something we will do it in writing first.

5.6 What is yours to send. Only send us material you are free to share. Do not send anyone else's confidential information, anything covered by an obligation you owe to an employer or a third party, or anything that infringes another person's rights. You are responsible for what you send.

5.7 If we go forward. If we decide to work together, a separate written agreement will set out the terms, including ownership, equity, and confidentiality. That agreement replaces this section for the work it covers.

6. Links to Other Sites

The Website may link to sites we do not operate. We do not control them, do not endorse them, and are not responsible for their content or practices. You visit them at your own risk.

7. The Website Is Provided As Is

WE PROVIDE THE WEBSITE "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR FREE, OR SECURE, OR THAT ITS CONTENT IS ACCURATE OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT IN CASES OF GROSS NEGLIGENCE OR WILFUL MISCONDUCT, EVERTO AND ITS FOUNDERS, PERSONNEL, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, OR LOST DATA, ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100). THESE LIMITS ALLOCATE RISK BETWEEN US AND ARE AN ESSENTIAL PART OF THIS AGREEMENT. NOTHING HERE LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless EverTo and its founders, personnel, affiliates, and agents from any claim, loss, damage, or cost, including reasonable legal fees, arising from your use of the Website, your breach of these Terms, or any material you send us that infringes or violates the rights of a third party.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict of law rules. The courts of Ontario have exclusive jurisdiction over any dispute arising from these Terms or the Website, and you consent to their jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11. Changes to These Terms

We may revise these Terms. The revised version takes effect when posted here, and we will update the "Last Updated" date above. Continued use of the Website after that means you accept the change. Changes do not apply retroactively to a pitch you sent before the change took effect.

12. General

12.1 Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Website, and they replace any earlier understanding on that subject. A separate signed agreement between us prevails over these Terms for whatever it covers.

12.2 Severability and waiver. If any provision is held unenforceable, it is severed and the rest stays in force. Our failure to enforce a provision is not a waiver of it.

12.3 Assignment and successors. You may not assign these Terms without our written consent. We may assign them, together with the rights and obligations in them, to an affiliate or to any entity that is incorporated to carry on, acquires, or succeeds to the EverTo business, and these Terms continue to apply to that successor.

12.4 Independent parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between us.

12.5 Operating entity. EverTo Ventures is a business name operated by Lycco Inc. Canada, which is the contracting party under these Terms.
